Welcome to QoraCRM (“Company,” “we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your access to and use of our website, software, Software as a Service (SaaS) platform, and WordPress plugins (collectively, the “Services”).

By accessing, subscribing to, or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

1. Services & Software Licensing

A. SaaS Platform

Subject to these Terms, we grant you a non-exclusive, non-transferable, limited right to access and use our SaaS web application for your business operations during your active subscription period.

B. WordPress Plugin & Software License

  • License Grant: Upon purchasing a subscription or license key for our WordPress plugin, we grant you a non-exclusive, non-transferable license to download, install, and use the plugin on the number of domain(s) permitted by your purchased subscription plan.

  • License Validation: Our plugin requires an active license key to access automated updates, support, and continuous integrations. License keys may communicate with our servers to verify authenticity, active status, and domain usage.

  • Prohibited Actions: You may not reverse engineer, decompile, resell, redistribute, or sublicense the software or license keys without prior written permission.

2. Accounts and Registration

To use certain features of the Services, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration.

  • Maintain the security and confidentiality of your account credentials.

  • Promptly notify us of any unauthorized access to or use of your account.

  • Accept full responsibility for all activities that occur under your account.

3. Payments, Billing, and Merchant of Record

A. Merchant of Record (Paddle)

Our order process and payment processing are conducted by Paddle (Paddle.com Market Ltd), acting as our Merchant of Record (MoR).

When you purchase a subscription or license, Paddle handles the transaction, collects payment details, and accounts for applicable taxes (including US Sales Tax and Value Added Tax / VAT). By making a purchase, you agree to Paddle’s Terms of Use.

B. Subscriptions & Renewal

  • Billing Cycle: Subscriptions are billed on a recurring basis (monthly or annually) depending on your selected plan.

  • Automatic Renewal: Your subscription will automatically renew at the end of each billing cycle unless you cancel it before the renewal date.

  • Cancellation: You may cancel your subscription at any time through your account dashboard or by contacting support. Upon cancellation, your subscription will remain active until the end of the current paid billing period.

4. Refund Policy

We strive to ensure your complete satisfaction with our SaaS and WordPress products.

  • 30-Day Money-Back Guarantee: We offer a 30-day money-back guarantee from the date of initial purchase for new customers.

  • Refund Eligibility: To request a refund within the guarantee period, please contact support. Refunds are processed through our Merchant of Record (Paddle).

  • Exceptions: Abusive refund requests, chargebacks without prior contact, or requests made after the guarantee period has expired will not be granted.

5. Intellectual Property

All rights, titles, and interests in and to the Services, including but not limited to software code, trademarks, logos, UI/UX designs, documentation, and database structures (including QoraCRM), belong exclusively to QoraCRM or its licensors.

Nothing in these Terms grants you ownership rights to the software or underlying intellectual property.

6. System Availability and Support

  • Uptime: We aim to maintain high availability for our SaaS platform and API services, but we do not guarantee uninterrupted or error-free operations.

  • Maintenance: Scheduled maintenance or critical updates may cause temporary downtime.

  • Support: Technical support for our SaaS and WordPress plugin is available to users with active subscriptions via [email protected] or our support portal.

7. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall QoraCRM, its affiliates, or suppliers be liable for any indirect, incidental, special, consequential, or punitive damages (including loss of profits, data, or business opportunities) arising out of or related to your use or inability to use the Services.

Our total aggregate liability for any claims arising under these Terms shall not exceed the total amount paid by you for the Services during the three (3) months prior to the event giving rise to the claim.

8. Termination

We reserve the right to suspend or terminate your account and license keys immediately, without notice, if:

  • You violate these Terms or our acceptable use policies.

  • Fraudulent payment activity or non-payment occurs.

  • Required by legal or regulatory authorities.

Upon termination, your right to access the SaaS platform and receive software updates/support for plugins will cease immediately.

9. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with applicable laws without regard to conflict of law principles. Any legal suit or proceeding arising out of or related to these Terms shall be brought exclusively in competent courts of jurisdiction.

10. Changes to Terms

We reserve the right to modify or update these Terms at any time. We will post the revised Terms on our website and update the “Last Updated” date. Continued use of the Services after any changes constitutes your acceptance of the new Terms.
